1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Zohti Ltd ("Zohti", "we", "our", or "us"), a company registered in England and Wales. By accessing or using the Zohti fleet management platform, mobile application, and website (collectively, the "Service"), you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
Zohti provides a cloud-based fleet management and compliance platform that includes:
- Digital vehicle walk-around inspections and checklists.
- Defect reporting, tracking, and resolution workflows.
- Job dispatch and driver management.
- MOT and compliance deadline monitoring.
- Timesheet and location-verified attendance tracking.
- An admin dashboard for fleet oversight and reporting.
- A mobile application for drivers and field operatives.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract. The Service is intended for use by UK-based transport operators, fleet managers, and their authorised personnel.
3.2 Account Responsibilities
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete registration information.
- You must promptly notify us of any unauthorised access to your account.
3.3 User Accounts
As an account administrator, you may create user accounts for your employees and contractors. You are responsible for ensuring that all users comply with these Terms and that user access is revoked promptly when no longer needed.
4. Subscription & Pricing
4.1 Plans
The Service is offered on a subscription basis. Current pricing plans and features are displayed on our website. We reserve the right to modify pricing with 30 days' written notice.
4.2 Free Trial
New customers may be eligible for a 14-day free trial. Access is granted by our team after reviewing your request. No credit card is required for the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Trial data will be retained for 30 days after the trial expires.
4.3 Billing
- Subscriptions are billed monthly or annually in advance, depending on the plan selected.
- All prices are in GBP and exclusive of VAT unless stated otherwise.
- Payments are processed securely through our third-party payment provider.
- Failed payments may result in suspension of Service access after a 7-day grace period.
4.4 Refunds
Annual subscriptions are eligible for a pro-rata refund if cancelled within the first 30 days. Monthly subscriptions are non-refundable but will remain active until the end of the current billing period.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulations.
- Attempt to gain unauthorised access to the Service, other accounts, or connected systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to store or transmit malicious code, malware, or harmful content.
- Resell, sublicense, or commercially exploit the Service without our written consent.
- Submit false, misleading, or fraudulent inspection data or compliance records.
- Use automated tools (bots, scrapers) to access the Service without prior approval.
6. Data Ownership & Intellectual Property
6.1 Your Data
You retain all rights to the data you input into the Service ("Customer Data"), including inspection records, vehicle information, and employee data. We do not claim ownership of your Customer Data.
6.2 Our Intellectual Property
The Service, including its software, design, logos, documentation, and all related intellectual property, is owned by Zohti Ltd and protected by UK and international copyright, trademark, and patent laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
6.3 Feedback
If you provide suggestions, feature requests, or other feedback about the Service, we may use such feedback without restriction or obligation to you.
7. Data Protection & Privacy
Our collection, use, and protection of personal data is governed by our Privacy Policy. By using the Service, you acknowledge and agree to our data practices as described in that policy.
Where you provide personal data of your employees or contractors, you warrant that you have the lawful basis to share such data with us and that those individuals have been informed of our processing activities.
8. Compliance & Regulatory
8.1 Compliance Tools
The Service provides tools designed to assist with compliance obligations under UK transport regulations, including DVSA requirements. However, the Service is a tool to support compliance — it does not guarantee regulatory compliance. You remain solely responsible for meeting all legal and regulatory obligations.
8.2 Record Retention
Inspection and compliance records are retained in accordance with applicable regulations. You are responsible for exporting any records you need before account termination.
9. Service Availability & Support
9.1 Uptime
We aim to maintain 99.9% uptime for the Service. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by factors outside our reasonable control.
9.2 Support
Support is available via email at [email protected]. Response times vary by plan:
- Starter: email support, 48-hour response time.
- Professional: priority email & phone support, 24-hour response time.
- Enterprise: dedicated support with SLA-backed response times.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
- Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold harmless Zohti Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Suspension & Termination
12.1 By You
You may cancel your subscription at any time through the dashboard or by contacting us. Cancellation takes effect at the end of the current billing period.
12.2 By Us
We may suspend or terminate your access to the Service if:
- You breach these Terms or engage in prohibited conduct.
- Your account is overdue for payment beyond the grace period.
- We are required to do so by law or regulatory order.
- We reasonably believe your account poses a security risk.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for 90 days after termination, during which you may request an export. After 90 days, data will be permanently deleted unless retention is required by law.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or an in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
14. General Provisions
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Entire Agreement
These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Zohti Ltd regarding the Service.
14.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or pandemics.
